Subscription Terms.

These terms are the agreement between you and AI Compass Pty Ltd (ABN 51 673 500 868), the Australian company that operates Helm, covering both the Helm Tenders and Helm Grants faces of the one platform. By creating an account or using Helm you accept them. Helm is a business tool: you must be at least 18 and using the service for a business or organisation, not as a consumer buying for personal or household use.

1. What Helm is, and is not

Helm indexes publicly available government procurement notices and grant rounds, scores them against the business profile you provide, and gives you tools to prepare your own responses. It exists for informational and educational purposes: it helps you find and understand opportunities, and it never acts for you. Helm never submits a tender response or grant application, never asserts that you are eligible for anything, and never predicts wins or funding.

Helm is an independent platform. It is not connected with, and is not endorsed by, any government, government agency or procurement portal at any level. The source portal is always authoritative: closing dates, documents, eligibility rules and conditions can change there at any time, and you are responsible for verifying every detail at the source before relying on it.

2. Your account and seats

• Keep your account details accurate and your credentials confidential. Everything done under your login is yours.
• Plans that include team seats let you invite people into your workspace; each seat is for one named person in your business. Accounts and seats are not to be shared with people outside your business or resold.
• Tell us promptly if you believe your account has been accessed without authority.

3. Plans, billing and GST

Paid plans bill in advance, monthly or annually, in Australian dollars through Stripe; we never see or store your card number. Prices are shown ex GST with the GST-inclusive total alongside, and GST is itemised at checkout and on your invoice. The tender and grants sides of Helm are separate subscriptions: each is bought, metered and cancelled on its own.

If a renewal payment fails we do not cut you off on the spot: we tell you, keep your plan running while Stripe retries, and your plan only ends if the subscription itself lapses. We can vary prices with no less than 60 days written notice by email; a change takes effect from your next billing cycle, never mid-cycle, and you can cancel before it does.

Subscribers who commence a paid subscription during the founding period retain their initial subscription price for 24 months of continuous subscription on the same plan. Thereafter, we may vary subscription prices with no less than 60 days written notice, effective from the subscriber's next billing cycle. Following the guarantee period, founding subscribers' pricing will remain preferential relative to then-current list pricing. A change of plan adopts the then-current price for the new plan. A lapse in subscription ends the guarantee.

4. Cancellation and refunds

There is no lock-in. Cancel any time from the billing portal: your plan runs to the end of the period you have paid for, monthly or annual, and then does not renew. Because paid periods run to their end, we do not give refunds or credits for change of mind or for the unused remainder of a period. If we ever charge you incorrectly, we will correct it.

Nothing in these terms excludes or limits rights you have under the Australian Consumer Law. Where a consumer guarantee applies to the service and there is a major failure, you keep every remedy that law gives you, including a refund where it provides for one.

5. Fair use and acceptable use

Where a plan describes an allowance as unlimited, that means unlimited for the ordinary interactive use of one business: a person working in the product. It does not cover automated, scripted or bulk extraction of data or AI output. If usage is far outside the pattern the plan was priced for, we will contact you before anything else; throttling or suspension comes with notice, not as a surprise.

• Do not scrape, harvest, bulk-export or resell Helm's data or output, or use Helm to build or feed a competing product or dataset.
• Do not reverse engineer, probe, overload or attempt to gain unauthorised access to the service, and do not introduce malicious code.
• Do not use Helm for any unlawful purpose, and comply with the terms of the source portals you access through the links Helm provides.
• One business per account: your subscription covers your business and its invited seats, not services to third parties.

6. AI features

Helm uses AI to score, summarise, extract and draft. Everything AI produces in Helm is decision support and must be reviewed by a human before you rely on it or send it anywhere. We do our best to make outputs accurate, we itemise scoring so you can check our reasoning, and AI still makes mistakes: drafts can be wrong, scores can be wrong, and unverifiable statements are flagged for you to resolve. Every draft is yours to review, own and submit or discard.

We do not use your data to train AI models, and the AI providers we use (currently OpenAI and Anthropic) process it under terms that prohibit them from training on it. AI features in Helm are always visibly AI: buttons and panels say what runs a model, and allowances are metered per plan.

7. Your data and documents

Your data is yours. Your profile, documents, drafts, notes and records remain your property; you grant us only the licence needed to operate Helm for you - to store, process, display and transmit your data in providing the service. Documents you upload are your own copies, obtained under your own portal registrations; they are stored privately per account, never shared between accounts, and deleted 90 days after their tender or round closes, or immediately when you delete them or your account. Helm is not an archive: keep your own originals, and treat your copy as the authoritative one. We may use aggregated, de-identified statistics about how Helm is used to improve the product; nothing in that data identifies you or your business.

8. Feedback

If you send us ideas or suggestions about Helm, you licence us to use them without restriction or payment. Your business data is never "feedback": this clause covers suggestions about the product, nothing else.

9. Availability and third parties

We aim to keep Helm available around the clock and do not guarantee uninterrupted service. Helm depends on third parties it does not control: source portals, AI providers, payment and email infrastructure. We do not guarantee that every relevant tender or grant appears in Helm, that any notice appears without delay, or that a listing is complete or correctly formatted, and we are not liable for opportunities missed because of the platform's operation, an outage, a source's data or its format. Links to external sites are provided for your convenience; their content is theirs.

10. Intellectual property

Helm - the software, design, scoring approach and content we created - belongs to AI Compass Pty Ltd and its licensors, and no rights in it transfer to you beyond your subscription's right to use the service. Public sector notice data carries its own licences and attributions, stated in the product; your data remains yours as set out above. We never use your name or logo publicly without your prior written consent.

11. Warranties and liability

We warrant that we provide Helm with due care and skill. Beyond that, and to the extent the law permits, the service is provided as is and all implied warranties are excluded. Where legislation implies a guarantee that cannot be excluded but can be limited, our liability is limited, at our option, to resupplying the service or paying the cost of resupply.

To the extent the law permits, neither party is liable to the other for indirect or consequential loss, including lost profits, lost revenue or missed opportunities, and our total liability under these terms is capped at the amount you paid us in the 12 months before the event giving rise to the claim. None of this limits liability that cannot lawfully be limited, your rights under the Australian Consumer Law, or either party's liability for fraud.

12. Suspension, termination and wind-down

We can suspend or close an account that materially breaches these terms; where the breach can be fixed, we will say what is wrong and give you a reasonable chance to fix it first. You can leave at any time as set out in section 4. If we ever discontinue Helm or close your account other than for breach, we will notify you by email with reasonable notice, give you a window to export your data, and credit or refund the unused remainder of anything you have prepaid; that refund is the full extent of what is owed on a wind-down.

13. Changes to these terms

We can update these terms as Helm evolves. For material changes we will give you at least 30 days notice by email before they take effect, and you can cancel before they do; continuing to use Helm after the effective date accepts the updated terms. The date at the top of this page always states the current version.

14. Negotiated agreements

If your business has a separately negotiated and signed agreement with AI Compass Pty Ltd, that agreement prevails over these terms to the extent of any inconsistency.

15. General

If part of these terms is unenforceable, the rest stands. Not enforcing a right is not waiving it. You may not assign this agreement without our consent; we may assign it as part of a sale or restructure of the business, with your protections intact. These terms, with the Privacy Policy, are the whole agreement between us for the service. Notices to us go to hello@helmtender.com.au; notices to you go to your account email.

16. Governing law

These terms are governed by the laws of Queensland, Australia. Disputes go first to us - most things resolve with an email - and otherwise to the courts of Queensland, which both parties submit to non-exclusively.
